Duty of Obedience: The Forgotten Fiduciary Duty

Board training covers the duty of care and the duty of loyalty. The third fiduciary duty, obedience, rarely gets a slide, and in my governance assessments it is the one most often breached. The duty of obedience requires directors to follow the organization’s own governing documents, meaning its mission, bylaws, and policies.

How obedience quietly fails

Not through dramatic defiance. Through drift, with committees operating outside their charters, required subcommittees never constituted, procedures skipped because the calendar was tight, and bylaw language reinterpreted to fit the moment. Each instance seems small. Together they teach an organization that its governing documents are advisory.

Why it matters more in mission organizations

Nonprofit and member organizations hold assets in trust for a mission. The governing documents are the mechanism that keeps decisions tethered to that mission across leadership turnover. When obedience erodes, mission drift follows, and members feel it long before anyone names it. Trust surveys usually show it first.

An audit worth running

List every structure your bylaws require, including committees, subcommittees, reviews, and reports. Verify each one exists and functions. The gaps you find are not administrative trivia; they are fiduciary exposure, and closing them is among the fastest governance improvements available to any board.
